Terms of Use

1. Agreement to Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you") and CodePudding, LLC ("Company," "we," "us"), a Delaware limited liability company, governing your access to and use of the Kursify platform, including the website at kursify.app, the Telegram bot (@KursifyBot), and the Telegram Mini App (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 13 years of age to use the Service. If you are between 13 and 18 years old, you may only use the Service with the consent of a parent or legal guardian. By using the Service, you represent and warrant that you meet these eligibility requirements.

3. Description of Service

Kursify is an AI-powered learning platform that transforms YouTube videos and uploaded audio files into interactive educational materials, including summaries, quizzes, flashcards, Cornell Notes, and structured courses. The Service operates primarily through Telegram (bot and Mini App) and a companion website.

Key aspects of the Service:

  • All learning content (summaries, quizzes, flashcards, etc.) is generated by artificial intelligence and may contain inaccuracies or errors.
  • The Service processes audio content only. Visual elements such as on-screen code, diagrams, or whiteboard content in videos are not captured or analyzed.
  • The Service currently supports English and Russian language content.

4. Account and Authentication

Access to the Service requires a Telegram account. You authenticate through Telegram's secure authentication mechanism — the Service does not collect or store passwords or email addresses. You are responsible for maintaining the security of your Telegram account and for all activity that occurs through it on our Service.

You agree to provide accurate information and to not impersonate any person or entity. We reserve the right to suspend or terminate accounts that violate these Terms.

5. Subscription Plans and Payments

5.1 Pricing Tiers

The Service offers the following plans:

  • Free: 3 courses per month, videos up to 30 minutes.
  • Premium ($5.99/month): 15 hours of video per month, videos up to 3 hours, up to 3 videos per day, audio uploads.
  • Pro ($14.99/month): 50 hours of video per month, videos up to 5 hours, up to 10 videos per day, multi-lesson courses, priority processing.
  • Credit Hours: Pay-as-you-go top-ups at $0.99 per hour.

We reserve the right to modify pricing and plan features at any time. Changes to existing subscriptions will take effect at the start of the next billing cycle.

5.2 Billing and Payment Processing

All payments are processed by Paddle.com Market Ltd ("Paddle"), our Merchant of Record. Paddle handles all billing, payment processing, tax calculation, and VAT/sales tax compliance on our behalf. By subscribing, you also agree to Paddle's Terms of Service.

All prices are listed in US Dollars (USD). Applicable taxes are calculated and collected by Paddle based on your location.

5.3 Cancellation and Refunds

You may cancel your subscription at any time through the Paddle Customer Portal, accessible via the Telegram bot. Upon cancellation, you will retain access to your paid tier until the end of the current billing period, after which your account will revert to the Free tier.

Refund requests are handled in accordance with Paddle's refund policy. Credit hour purchases are non-refundable once used.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
  • Submit content that you do not have the right to process (e.g., copyrighted material for which you lack authorization).
  • Attempt to reverse-engineer, decompile, or disassemble any part of the Service.
  • Circumvent usage limits, rate limits, or other technical restrictions.
  • Use automated tools or scripts to access the Service in a manner that exceeds reasonable use.
  • Harass, abuse, or send threatening communications through the support system.
  • Share your account access or use the Service on behalf of a third party without authorization.

7. Intellectual Property

7.1 Our Intellectual Property

The Service, including its software, design, algorithms, and branding, is owned by CodePudding, LLC and is protected by intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service except for the limited right to use it in accordance with these Terms.

7.2 Your Content

You retain ownership of the YouTube URLs and audio files you submit to the Service. By submitting content, you grant us a limited, non-exclusive license to process it for the purpose of generating learning materials.

7.3 Generated Content

AI-generated learning materials (summaries, quizzes, flashcards, etc.) produced by the Service are provided to you for personal educational use. You may share generated content, including through the public course library. You are solely responsible for any content you choose to make public.

7.4 Public Course Library

By marking a course as public, you grant Kursify a non-exclusive, royalty-free, worldwide license to display and distribute that course through the public course library. You may remove your course from the public library at any time.

8. AI-Generated Content Disclaimer

All educational content generated by the Service is produced by artificial intelligence models. While we strive for accuracy, we make no guarantees regarding the correctness, completeness, or reliability of AI-generated content. Specifically:

  • AI-generated content may contain factual errors, misinterpretations, or omissions.
  • Generated content should not be treated as professional, medical, legal, financial, or expert advice.
  • You should independently verify any information obtained through the Service before relying on it.
  • We provide a "Report inaccuracy" feature and encourage users to flag errors.

9. Third-Party Services

The Service integrates with and relies on the following third-party services:

  • Telegram: For authentication, bot interaction, and the Mini App. Your use of Telegram is subject to Telegram's own Terms of Service.
  • YouTube: For extracting video transcripts. Your use must comply with YouTube's Terms of Service.
  • Paddle: For payment processing (see Section 5.2).

We are not responsible for the availability, accuracy, or policies of third-party services.

10. Service Availability

We strive to provide continuous access to the Service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any loss or damage resulting from service interruptions.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CODEPUDDING, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE OR RELIABLE.

13. Indemnification

You agree to indemnify, defend, and hold harmless CodePudding, LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) content you submit or make public through the Service.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. Sections 7, 8, 11, 12, 13, 15, and 16 shall survive termination.

You may stop using the Service at any time. If you have an active subscription, you must cancel it through the Paddle Customer Portal to stop future charges.

15. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Dover, Delaware. Each party shall bear its own costs, and the arbitrator's decision shall be final and binding.

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

16. Changes to These Terms

We may update these Terms from time to time. We will notify users of material changes through the Telegram bot or by posting a notice on the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
